3Service Agreement for Facility Partners or Affiliates

Effective Date: December 7, 2025

This Service Agreement outlines the relationship between Curis Diagnostic Solutions, LLC ("Curis Diagnostic Solutions") and the partnering facility or affiliate ("Partner").

By participating in the partnership or affiliate program, the Partner agrees to the terms below.

1. Scope of Services

Curis Diagnostic Solutions may provide:

  • Mobile diagnostics and phlebotomy
  • DNA testing services
  • Drug and alcohol testing, including DOT services
  • Fingerprinting and identity services
  • Specimen transport
  • Temporary-location or on-site services
  • Support for partner operations

Specific services will be defined in each engagement, quote, or onboarding packet.

2. Partner Responsibilities

Partners agree to:

  • Provide accurate business and contact information
  • Maintain a safe, appropriate work environment if on-site services are performed
  • Follow all regulatory requirements attached to their specific industry
  • Maintain confidentiality of customer information
  • Avoid misrepresenting the relationship or services offered

Partners must not share, resell, or alter any Curis Diagnostic Solutions materials without permission.

3. Compliance and Legal Standards

Both parties agree to comply with:

  • HIPAA
  • DOT and OSHA requirements
  • Identity and fingerprinting regulations
  • Federal and state laws relevant to testing or diagnostics

Curis Diagnostic Solutions maintains chain-of-custody standards for all regulated services.

4. Fees and Payment

Fees will be stated in the service proposal, rate sheet, or affiliate agreement. Payments must be made as scheduled. Late payments may lead to service suspension.

5. Term and Termination

Either party may terminate this agreement with written notice. Curis Diagnostic Solutions may suspend or terminate the relationship for:

  • Nonpayment
  • Regulatory violations
  • Misrepresentation
  • Failure to follow required protocols

6. Confidentiality

Both parties will protect customer data, business information, and proprietary materials. PHI must always be handled under HIPAA standards.

7. Liability

Each party is responsible for its own employees, practices, and compliance obligations. Curis Diagnostic Solutions is not liable for Partner misuse, misrepresentation, or failure to comply with regulations.

8. Independent Contractor Relationship

The Partner is not an employee, agent, or representative of Curis Diagnostic Solutions. No joint venture or partnership is created by this agreement unless formally documented.

9. Governing Law

This agreement is governed by the laws of the State of Illinois.

  • Report results as required by law, DOT, OSHA, or regulatory authorities

We will not share unauthorized information beyond what is legally permitted.

5. HIPAA Acknowledgment

You acknowledge that:

  • You have access to the HIPAA Notice of Privacy Practices
  • You may request a copy at any time

6. Risks and Expectations

You understand:
